Our firm shares office space and facilities with the firm of RL & JH Webster and the staff of that firm provide some services to my firm. All firm files are kept separate and disclosure of information between our firms is only made to the extent necessary to enable that firm’s staff to provide services to our firm's clients or to permit my legal assistant to provide services to clients of the firm.

Beth has extensive experience in providing legal services to churches, charities and non-profit organizations. She has also served on boards of directors of several charities and non-profit organizations and on church boards, committees and executives at congregational and regional levels in a volunteer capacity. All of this experience has given her an excellent understanding of the types of issues these organizations must deal with in carrying on their operations.

Sellers will often prefer to sell the shares of the business in order to take advantage of the capital gains exemption applicable to sales of shares of private companies. The sale transaction is also less complicated in some ways in that the contracts of the business do not have to be assigned individually and conveyancing documents are not required to transfer the various assets. However a higher level of due diligence is required on the part of the purchaser in order to assess the risks of acquiring the corporation's liabilities for taxes, legal proceedings and contractual obligations.
